D2Pass TERMS OF USE (Effective as of May 8, 2020)

READ THIS AGREEMENT THOROUGHLY BEFORE USING OUR SERVICES

The D2Pass Common Network Authentication Service System ("D2Pass" or "CNASS") is owned and operated by DTI Services, Inc. ("DTI") This service secures the systematical functioning of the registration, login, and the transaction of the products and/ or services offered by D2Pass ("Services").

1. TERMS OF SERVICE AGREEMENT

D2Pass provides its Services to you as a registered subscriber or authorized user ("member" or "you"), subject to the terms of this agreement and D2Pass's operating rules. This D2Pass Website(”Website”) is designed and intended SOLELY for ADULTS - people who are AT LEAST EIGHTEEN (18) YEARS OLD (or the age of legal majority in the jurisdiction in which you reside)-- who are interested in and wish to have access to visual images, verbal descriptions and audio sounds of a sexually oriented, frankly erotic nature. The materials which are available within this Website may include graphic visual depictions and descriptions of nudity and sexual activity and should NOT be accessed by anyone who is younger than 18 years old (or the age of legal majority in the jurisdiction in which you reside) or who does not wish to be exposed to such materials. By registering with D2Pass.com you are making and agreeing to the following statements: "Under penalty of perjury, I swear/affirm that, as of this moment, I am an adult, at least 18 years of age (or the age of legal majority in the jurisdiction in which I reside)." "I promise that I will not permit any person(s) under 18 years of age (or the age of legal majority in the jurisdiction in which I reside) to have access to any of the materials contained within this site." "I understand that when I gain access to this Website, I will be exposed to visual images, verbal descriptions and audio sounds of a sexually oriented, frankly erotic nature, which may include graphic visual depictions and descriptions of nudity and sexual activity. I am voluntarily choosing to do so, because I want to view, read and/or hear the various materials which are available, for my own personal enjoyment, information and/or education. My choice is a manifestation of my interest in sexual matters, which is both healthy and normal and which, in my experience, is generally shared by average adults in my community. I am familiar with the standards in my community regarding the acceptance of such sexually oriented materials, and the materials I expect to encounter are within those standards. In my judgment, the average adult in my community accepts the consumption of such materials by willing adults in circumstances such as this which offer reasonable insulation from the materials for minors and unwilling adults, and will not find such materials to appeal to a prurient interest or to be patently offensive."

King Summit, at its discretion, reserves the right to use or private label third-party tools and software for marketing and an enhanced customer experience. Purchased products/services are provided by King Summit Enterprises Limited; any and all legal matters are subject to the governing laws of Cyprus.

2. OPERATING RULES

You must register through D2Pass.com to obtain the D2Pass ID ("ID") to use the CNASS. The ID will allow you to complete any actions and transactions provided by our Services. You certify that you will use our Services in compliance with Section 4 and 5 described below, and based on your Available Balance in use with any and all transactions. The Website provides monthly and annual program membership features wherein you can avail of certain Services for a fixed fee.  Otherwise, any registered member will only pay for the Services that are purchased or availed.

3. MEMBERSHIP FEES, CREDIT CARDS

You will be charged a membership fee in accordance with the designated schedule in order to gain access to and for usage of the D2Pass Premium Service, such information and products offered by the Services, and for the ”Shinsaku Adult Mihoudai Plan," which started on December 24, 2014. For monthly and annual program members, you understand that your credit card will automatically be billed each month for the current membership fee until you complete the cancellation of your membership to the Services. All sales are final. There will be no refunds, including partial refunds. There is no cooling off period.

For users with recurring monthly/annual membership, you agree that if any of your registered credit card(s) are declined for any reason including but not limited to expiration, you have 30 days from the recurring charge to provide us with updated account information and or a new card, if necessary.   The company reserves the right to update credit card information utilizing third party services, including but not limited to, updating services provided by card associations or gateway providers.  If you provide us with a new card, updated information and or updated information that we may have collected and are successfully charged within 30 days, your new membership period will be based on the original renewal date and not the date of the successful charge.

As of May 20, 2008, if your registered credit card was declined for any reason, D2Pass will automatically charge your other registered credit cards (Auto Recurring System)

As of May 8, 2020, please be informed that the Website, in its sole discretion, reserves the right to deactivate any or all of your registered credit cards at any time and for any reason, including, but not limited to:

  • a. Inactivity;
  • b. To protect the security of the Website and its users;
  • c. Fraudulent or suspicious activity;
You must re-register the same credit card or register a different credit card, after its deactivation, if you wish to purchase or avail any of the Services.

You are entirely responsible for the credit card limit ("limit"), which is imposed by D2Pass upon your registration therein. You acknowledge the use of our Services and CNASS in accordance to your limit. If you register multiple accounts, the limit will be imposed on every registered credit card. You may request to increase the limit by submitting a written request.

UNLESS YOU COMPLETE THE CANCELLATION PROCESS, YOU UNDERSTAND THAT YOUR MEMBERSHIP WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE US (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) TO COLLECT THE THEN-APPLICABLE MEMBERSHIP FEE AND ANY TAXES, USING ANY CREDIT CARD WE HAVE ON RECORD FOR YOU.

4. TRANSACTION SYSTEM

To complete all transactions with D2Pass and the affiliate websites (“Affiliated Websites”), you must click "Sign Up" bottom on the Website you wish to purchase from, and fill out the information on an application page.

D2Pass offers a point program or promotional campaign (“Point Program”) which may grant you non-negotiable points that can be used to avail of services or items. The rules for the Point Program including the amount and/or rate of the granted points will be determined at the sole discretion of D2Pass. D2pass will provide such rules at highly-visible public areas of the Website and the featured Websites. The total granted points and the available purchased point balance will be rounded off to the nearest decimal number and cannot be converted to cash under any circumstances.

Once you exchange the points for item(s), you cannot return the chosen items, request for a refund or replace with another item(s) or service(s).

5. YOUR RIGHTS AND RESPONSIBILITY

You are entirely liable for all activities conducted through your account. To maintain the confidentiality of the account and password, you may not permit other individuals or a third party to use your account and password. For security reasons, D2Pass will not release passwords for any reason. Unauthorized access to the Services is a breach of this Terms of Use and a violation of law. D2Pass shall not be responsible for any loss or damages caused by unauthorized use of your password. You must promptly inform D2Pass of any apparent breach of security such as loss, theft, or unauthorized disclosure or use of a user ID or password. Until D2Pass is notified, whether by email, telephone or other method (such as fax) of any breach of security, you will remain personally liable for any unauthorized use of the Services.

6. PROHIBITED ACTIONS

  1. Any activities that disrupt the Services that D2Pass provides and any action that is designed to crack the anti-copy code of any data owned or held by D2Pass.
  2. The use of D2Pass to send emails that receiver do not wish to receive, or to send or forward large amount of commercial emails.
  3. The use of material on the Services including your user ID and Password for any use other than your private and personal use.
  4. Any action that violates this Terms of Use or Privacy Policy of D2Pass.
  5. The use of our Services by minors.
  6. Any action that obstructs the use of Services by others.
  7. Any action which intentionally or unintentionally violates any applicable local, state, national, international or foreign law, including, but not limited to, any rules or regulations having the force of law.

7. CANCELLATION AND TERMINATION AND/OR SUSPENSION OF SERVICE

Both D2Pass and you have the right to cancel your account. D2Pass reserves the right, in its sole discretion, to terminate and/or suspend the Services to you or any person without prior notice and for any reason, including, without limitation, if D2Pass believes that you have engaged in any of the prohibited actions indicated in  section 7, or have violated any other provisions of these Terms of Use or Privacy Policy.

If you violate any part of these Terms of Use or Privacy Policy, D2Pass reserves the right to terminate your account temporarily, or permanently suspend the Services to you at any time. D2Pass will terminate all points remaining in your account, including any bonus mileage points.

If you desire to cancel your Premium membership, please complete and submit the cancellation form located at Join Page. You must cancel your Premium membership at least one day before your next billing cycle to avoid automatic recurring charges. Please note that your cancellation request will not be processed until we receive your cancellation form. When a request was made but was not completed properly (e.g. incomplete forms, sending errors, etc.), your cancellation request will not be processed.

8. COLLECTION AND USE OF PERSONAL INFORMATION

Personal information means information that can be used to identify and contact you, specifically your name, address, e-mail address, and payment information (e.g., credit card). When you register or re-register at D2Pass.com, you must provide D2Pass with personal information so that we can provide, enhance and personalize the Services and marketing efforts. For similar reasons, we may supplement the personal information you provide with publicly available information about you. D2Pass will use the following email addresses to send you mail magazines, including but not limited to special offers, promotional announcements and consumer surveys:

  1. Email address provided at the time of registration.
  2. Email address created using our Services and/or

If you no longer wish to receive these mail magazines and/or other announcements, you are required to contact Customer Service. You cannot unsubscribe from certain correspondence from D2Pass, including emails relating to your account transactions and payment confirmation notifications.

9.YOUR RESPONSIBLITY FOR USE OF SERVICES

You are entirely liable for all charges for products and the Services purchased in D2Pass.com. D2Pass shall not be responsible for any and all charges incurred in connection with use of any of the Affiliated Websites.

10. INTERRUPTIONS IN SERVICE

D2Pass or the Affiliated Websites may shut down its or their Websites, without prior notice in the event of unexpected problems with servers or communications lines, disasters, or other unforeseen interruptions. D2Pass may also shut down its Website to perform server maintenance. D2Pass provides no guarantees whatsoever regarding the reliability, stability, usability etc. with respect to the delivery or performance of the Services. D2Pass shall not be liable for indirect, direct and/or consequential damages resulting from changes to the Services or from, interruptions or cancellation of the Services, or from any loss or damage arising from disclosure of and/or misuse of data.

11. RIGHT TO CHANGE PRICING, CONTENT AND TERMS OF USE

You agree that D2Pass has the right to change its pricing and website content at any time. By continuing to access or use the Services after those changes become effective, you agree to any such changes. You also agree that D2Pass has the right to revise the Terms of Use at any time. We will try to notify you of material revisions, for example via a service notification or an email to the email associated with your account. Such revisions shall be effective 30 days after we announce the changes on the homepage of the Website and post the details of the change on this page, both of which will be done simultaneously. You agree to review the Terms of Use periodically to be aware of such changes. If any change is unacceptable to you, you may cancel your membership as provided in Section 7 above. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms of Use.

12. DISCLAIMER OF WARRANTIES

D2PASS SHALL NOT BE RESPONSIBLE FOR MONITORING OR EXAMINING THE ACCURACY, VALIDITY, OR OPERABILITY OF THE WEBSITE, OR THE RELIABILITY OF ANY PAGE/INFORMATION CONTAINED IN THE WEBSITE. D2PASS SHALL NOT BE LIABLE FOR PROBLEMS OR DAMAGES RESULTING FROM OR ARISING OUT OF USE OF THE SERVICES OR THE WEBSITE. YOUR USE OF THE WEBSITE IS AT YOUR OWN RISK. ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS AND SERVICES USED OR PURCHASED BY YOU, ON OR THROUGH THE WEBSITE, ARE SUBJECT ONLY TO ANY APPLICABLE WARRANTIES, IF ANY, OF THEIR RESPECTIVE MANUFACTURERS, DISTRIBUTORS, SUPPLIERS AND PROVIDERS. D2PASS AND DTI MAKE NO WARRANTY, EXPRESS OR IMPLIED, AS TO ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGHTHE WEBSITE AND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY. THE INFORMATION, CONTENT, MATERIALS, PRODUCTS AND SERVICES ARE PROVIDED TO YOU "AS IS" AND "WITH ALL FAULTS", AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT OF THE PRODUCTS OR SERVICES IS WITH YOU. IF THE MANUFACTURER, DISTRIBUTOR, SUPPLIER OR PROVIDER HAS PROVIDED A WARRANTY (WHETHER EXPRESS OR IMPLIED), D2PASS AND DTI DO NOT ADOPT, WILL NOT HONOR AND DISCLAIM ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY.

13. DISCLAIMER OF LIABILITIES

IN NO CIRCUMSTANCE AND UNDER NO LEGAL THEORY (INCLUDING WITHOUT LIMITATION TORT, CONTRACT OR OTHERWISE) SHALL D2PASS OR DTI HAVE ANY LIBILITY TO YOU OR TO ANY OTHER PERSON OR ENTITY FOR: (i) ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL LOSSES OR DAMAGES (INCLUDING LEGAL FEES) OF ANY NATURE INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF EARNINGS, LOSS OF BUSINESS OPPORTUNITIES OR PERSONAL INJURY (INCLUDING DEATH), RESULTING DIRECTLY OR INDIRECTLY OUT OF, OR OTHERWISE ARISING IN CONNECTION WITH, YOUR PURCHASE OR USE OF THE INFORMATION, CONTENT, MATERIALS, PRODUCTS OR SERVICES ON THE WEBSITE; (ii) ANY LOSSES, CLAIMS, DAMAGES, EXPENSES, LIABILITIES OR COSTS (INCLUDING LEGAL FEES) RESULTING DIRECTELY OR INDIRECTLY OUT OF, OR OTHERWISE ARISING IN CONNECTION WITH, ANY ALLEGATION, CLAIM, SUIT OR OTHER PROCEEDING BASED UPON AN ASSERTION THAT THE USE OF THE INFORMATION, CONTENT, MATERIALS, PRODUCTS OR SERVICES BY YOU OR ANY OTHER PERSON OR ENTITY INFRINGES THE COPYRIGHT, PATENT, TRADEMARK, TRADE SECRET, CONFIDENTIALITY, PRIVACY OR OTHER INTELLECTUAL PROPERTY RIGHTS OR CONTRACTUAL RIGHTS OF ANY THIRD PARTY. THE MAXIMUM LIBILITY OF D2PASS OR DTI ARISING FROM OR RELATING TO THIS AGREEMENT, YOUR PURCHASE OR USE OF THE INFORMATION, CONTENT, MATERIALS, PRODUCTS OR SERVICES ON THE WEBSITE SHALL BE LIMITED TO THE AMOUNT PAID BY YOU, IF ANY, FOR THE PURCHASE OR USE OF THE INFORMATION, CONTENT, MATERIALS, PRODUCTS OR SERVICES.

14. INDEMNITY

You agree to indemnify and hold D2Pass and DTI and their parents, affiliates, subsidiaries, officers, directors, employees, successors and assigns, harmless from any claim, loss or demand, including attorneys' fees, made by any third party due to or arising out of your use of the Website, your connection to the Website, your violation of these Terms of Use, or Your violation of any rights of another party. This indemnity survives termination of these Terms of Use.

15. THIRD PARTY LINKS

From time to time, the Website may contain links to websites that are not owned, operated or controlled by D2Pass or DTI or their respective affiliates. All such links are provided solely as a convenience to you. If you use these links you will leave the Website. Neither D2Pass, DTI or their affiliates are responsible for any content, materials, information, products or services located on or accessible from any other websites. Neither D2Pass nor DTI or their affiliates endorse, guarantee, or make any representations or warranties regarding any other websites, or any content, materials, information, products or services located or accessible from any other websites or the results that You may obtain from using any other websites. If You decide to access any other websites linked to the Website, You do so entirely at Your own risk.

16. APPLICABLE LAWS

  1. The laws of the State of California shall govern these Terms of Use and your membership. As noted above, your conduct may be subject to other local, state, and national laws. You expressly agree that exclusive jurisdiction for any claim or dispute resides in the courts of the State of California. You further agree and expressly consent to the exercise of personal jurisdiction in the State of California in connection with any dispute or claim involving D2Pass. In any such event that legal action is taken hereunder, each party shall bear its own costs including court costs and attorney's fees.
  2. If any provision or provisions of these Terms of Use shall be held to be invalid, illegal, unenforceable or in conflict with the laws of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby, and shall remain in full force and effect.
